The two parties declared their eligibility inter into this contract and agreed as follows:
وقد أقر الطرفان بأهليتهما للتعاقد واتفقا على ما يلي:ـ
Preamble

Whereas, the first party is a company carrying out business under trade license No. / issued by the Economic Department in Emirate of Dubai, and its activities is ( ) and has experience in the activity of diesel trading and agreed to provide the second party with diesel, which practice an activity of in Dubai Emirate pursuant to trade license No. , issued by ADNOC .So, the tow parties have agreed on the sale according to the following clauses:-

حيث أن الطرف الأول شركة تقوم بمزاولة أعمالها التجارية بموجب الرخصة التجارية رقم/ الصادرة من الدائرة الاقتصادية بإمارة دبي ونشاطها ( ) ولديها الخبرة في نشاط تجارة الديزل ووافقت علي تزويد الطرف الثاني بمادة الديزل من أدنوك الذي يزاول نشاط في إمارة دبي بموجب الرخصة التجارية رقم ـ لذا فقد تلاقت إرادة الطرفين واتفقا على إتمام البيع وفقاً للبنود التالية :ـ

The above preamble forms an integral part of this contract.
البنــد الأول

يعتبر التمهيد السابق جزءً لا يتجزأ من هذا العقد .
Clause two:

The first party hereby agreed to supply of 100.000 gallons of diesel to the second party daily basis for five working days per week for a period of one year from the date of signing this contract, against 11. 70 AED for each gallon. The price is fixed for period of 60 days, and shall be modified according to ADNOC variables indicator of price.
البنـــد الثانــي

وافق الطرف الأول علي توريد 100,000 غالون من الديزل للطرف الثاني يوميا لمده خمسه أيام عمل في الأسبوع لمده عام من تاريخ التوقيع مقابل 11.70 درهم إماراتي لكل غالون وأن هذا السعر ثابت لمده 60 يوم ويمكن تعديله وفق متغيرات مؤشر أسعار أدنوك.
Clause three:

The second party agreed to the quantity and price which agreed upon in the second clause and comply to open a bank credit in any state bank ( standby L C ) according to the form prepared by the first party and attached to the contract and such a credit shall cover the whole quantity for one year and renewed automatically.
البنـــد الثالــث

وافق الطرف الثاني علي الكمية والسعر المتفق عليهما في البند الثاني ويلتزم بمقتضاه بفتح اعتماد بنكي في أحد بنوك الدولة ( إستاند باي إل سي ) حسب النموذج المعد من الطرف الأول والمرفق بالعقد ويكون هذا الاعتماد يغطي أسبوع كامل للكمية ويجدد تلقائيا .
Clause four:

The second party commits to receive the shipment that agreed upon in clause two on daily basis from 8 a.m to 7 p.m in patches, sign the bills of receipt without any delay and notify the first party in daily manner and in sufficient time by the place where he wishes to discharge the shipment. The first party also commits to deliver the shipment to the place where the second party wishes in UAE.

يلتزم الطرف الثاني باستلام الشحنة المتفق عليها في البند الثاني يوميا من الساعه الثامنه صباحا وحتي الساعه السابعة مساءا علي دفعات والتوقيع علي الفواتير بالاستلام ولا يتباطئ في ذلك مع ضرورة إخطار الطرف الأول بصفة يومية وبوقت كافي بالمكان الذي يرغب فيه في تفريغ الشحنة كما يلتزم الطرف الأول بتوصيل الشحنة إليه في المكان الذي يرغب فيه الطرف الثاني بدولة الامارات العربية المتحدة .
Clause five:

In case of refusing or slowing down in receiving the daily shipment for any reason by the second party, he obliged to pay fine of 2% of the daily shipment value to the first party as a result of such breach. The second party also has the right to impose the same fine against the first party in the case of breach of delivery of the shipment on time agreed upon.

يلتزم الطرف الثاني في حالة رفضه استلام الشحنة اليومية أو التباطؤ فيها لأي سبب راجع إليه يسدد غرامه قدرها 2% من قيمة الشحنة اليومية للطرف الأول عليه نتيجة هذا الإخلال ، كما يحق للطرف الثاني فرض نفس الغرامة علي الطرف الأول في حالة إخلاله بتسليم الشحنة في مواعيدها المتفق عليه.
Clause six:

The financial costs regarding to the supplying of diesel and delivering it to the second party inside UAE are incurred by the first party after receiving the origin of bank credit and checking it with his bank within three days. In case of not compliance to this despite of the correct accreditation, he shall be entitled to a forfeiture of 2% of the contract value. As well as the costs of enter- in the site and unloading are incurred by the second party.

يتحمل الطرف الأول جميع التكاليف المادية لتوريد الديزل وتوصيلة للطرف الثاني داخل دولة الإمارات العربية المتحدة بعد إستلام أصل الإعتماد البنكي والتشييك عليه مع بنكه خلال ثلاثة أيام وفي حالة عدم إلتزامه بالرغم من صحه الأعتماد البنكي يسدد غرامه للطرف الثاني 2% من قيمة العقد الكلي ، مع تحمل الطرف الثاني إجراءات دخول الموقع والتفريغ .
Clause seven:

The first party obliged that quality of diesel to be as per specifications of ADNOC and provide laboratory tests on daily shipments on his costs , shall also comply to notify the second party of any development timely to enable the second party so as not to suffer any losses that arising from the same .
البنــد السابـع

يلتزم الطرف الأول أن تكون نوعية الديزل متوافقة مع مواصفات أدنوك وأن يتم توفير الاختبارات المعملية عن الشحنات اليومية علي حسابه كما يلتزم بإبلاغ الطرف الثاني بوجود أي مستجدات في حينها حتى يتمكن الطرف الثاني تعديل أوضاعه وفقا لهذه المستجدات حتى لا يتحمل أيه خسائر تنجم عن ذلك.
Clause eight:

The second party shall deliver the first party the origin of the letter that issued by his bank, stating out the bank credit has been opened (based on any L C) according to the details contained in attachment (1) attached to the contract. Therefore, the first party will be able to begin in performing his duties within three days on signing to this contract. In case of his not compliance he shall pay a forfeiture to the first party of 2% of the total value of contract.

يلتزم الطرف الثاني بتسليم الطرف الأول أصل الرسالة الصادرة من بنكه تفيد فتح الاعتماد البنكي ( إستاند باي إل سي ) وفقا للبيانات الواردة في المرفق (1) المرفق مع العقد حتى يتمكن الطرف الأول من البدء في التنفيذ خلال ثلاثة أيام من تاريخ التوقيع علي هذا العقد وفي حاله عدم إلتزام الطرف الثاني بتنفيذ العقد يسدد غرامه للطرف الأول قدرها 2% من قيمة العقد الكلي .
Clause nine:

The two parties agreed on that the terms of this contract is for one year, commencing from the date of signature of this contract and automatically renewed for other periods unless any of the parties shall notify the other of an unwillingness in the renewal before the end of one week duration . In case of any breach to the conditions of this contract by any party, the party in default shall pay 2% of the total contract value as a penalty of such breach.

اتفق الطرفان علي أن مده هذا العقد هي سنه واحدة تبدأ من تاريخ التوقيع علي الاتفاقية و يجدد تلقائيا لمدد أخري ما لم يخطر أي من الطرفين الآخر بعدم الرغبة في التجديد قبل نهاية المدة بأسبوع وفي حالة إخلال أي طرف ببنود العقد يسدد 2% من قيمة العقد الكلي كشرط جزائي نتيجة الإخلال.
Clause ten:

The first party shall obliged to supply the quantity that agreed upon to the second party, the second party also commits to receive the same quantity. In case or breaching by any party, the fine which agreed on in clause five will be applied excluding of force majeure and that arising from any natural disaster such as earthquake ….etc .
البند العاشر

يلتزم الطرف الأول بتوريد الكميه المتفق عليها للطرف الثاني كما يلتزم الطرف الثاني باستلام ذات الكمية وفي حالة الإخلال من أي طرف تطبق الغرامة المتفق عليها في البند الخامس ويستثني من ذلك الظروف القهرية والطوارئ الناشئة عن أي كوارث طبيعية كالزلازل .....الخ
Clause eleven:

The two parties agreed that any amendment to the terms and conditions of this contract contained therein is subject to approval of both parties. البند الحادي عشر

أتفق الطرفان علي أن يكون تعديل أي من شروط هذا العقد والأحكام الواردة فيه بموافقة الطرفين.
Article twelve:

In case any of dispute , the same shall be resolved amicably by all possible means , in case of failure in reach to that , courts of Emirate of Dubai are only competent courts to hearing the dispute in accordance with the applicable laws in the UAE.
البند الثاني عشر

في حالة نشوء نزاع لا قدر الله يتم حله وديا بكافة الطرق الممكنة وفي حالة عدم التوصل إلي ذلك تكون محاكم إمارة دبي دون غيرها هي المختصة بنظر النزاع وفقا للقوانين المعمول بها في دولة الإمارات العربية المتحدة.
Clause thirteen:

The two parties agreed on issuing this contract in three original copies, one for each party and that a copy shall be kept with Advocates and Legal Consultant office in order to monitor the execution of this contract.

اتفق الطرفان على تحرير هذا العقد من ثلاث نسخ بيد كل طرف نسخة منه ونسخة للحفظ لدى مكتب للمحاماة والاستشارات القانونية لمراقبة تطبيق الأطراف له.
